These Terms of Use ("Terms") apply to any access to and any use of the software known as Saalz ("the Software").
The Preamble forms an integral part of these Terms.
Use of the Software, whether free (Trial Account) or paid (where the User holds a subscription to the Software), is subject to the User's compliance with these Terms. The User confirms having read, understood and accepted these Terms.
Saalz reserves the right to modify or adapt these Terms at any time, by notifying any new version to the User, who undertakes to acquaint themselves with those changes.
Saalz grants access to the Software only to persons specifically authorised by Saalz and its Users.
Saalz undertakes to use all means to provide the User with reliable and fast access to the Software. A support service, limited to use of the Software under a paid access plan, is available on the terms of the subscription taken out.
For their part, the User acknowledges that the Software is a particularly complex platform, in particular in terms of computer technology, and therefore undertakes to bear the risks of the Software being unsuitable or unavailable.
Saalz may recommend technical prerequisites or certain configurations for using the Software. The User is responsible for following those technical prerequisites or recommendations, and in all cases ensures that their equipment is compatible with the Software.
The User is solely responsible for their Internet connection and for all related costs. The User declares that they understand that Saalz cannot be held liable in the event of an Internet outage, viruses affecting their data and/or software, misuse of Account passwords and, more generally, any damage caused by third parties.
Saalz offers the possibility of creating a free account for a Third Party wishing to evaluate the Software.
This Trial Account is made available for a period of fourteen (14) days from activation and on the following conditions:
Only one Trial Account may be created and this offer is not renewable;
Saalz may, at the User's request and without being obliged to do so, allow the User to use the Trial Account for an additional period of 14 days;
The User authorised to use a Trial Account acknowledges that the sole purpose of access to the Software is to allow them to test the Software's features before any subscription to a paid plan. On that basis, the User refrains from carrying out any processing or services for third parties using their Trial Account;
Saalz cannot be held liable on any basis whatsoever as a result of the use of the Software on a trial basis. Saalz will not be liable for any compensation of any kind in the event of a malfunction of the Software during the trial period.
Saalz reserves the right to delete without notice any Trial Account that does not comply with the foregoing provisions or with any other provision of these Terms.
Should the trial not be followed by the Subscription of an Account, Saalz will delete the authorised Third Party's Trial Account and the associated data within twelve (12) months of the closure of the Trial Account.
A user may subscribe to one of our plans, monthly or annual, by bank card. The solution used is Payzen. At any time the user may cancel their subscription by going to their profile → subscription. In the event of cancellation, the months or years already invoiced are non-refundable. The user account will remain active until the renewal date.
The User is solely responsible for the use and implementation of security, protection and backup measures for their equipment, Content and software.
The User undertakes not to commit any act that could compromise the security of the software platform and to use the Software in compliance with the laws and regulations in force.
Certain features of the paid subscriptions are described as “unlimited”, in particular the number of contact records that may be stored in the CRM. The absence of a stated cap applies within the scope of normal professional use of the Software by the User, for their own prospecting needs.
The following do not constitute fair use, in particular: uploading or retaining data unrelated to the User’s prospecting activity; using the Software as a storage or backup facility; reselling or making all or part of the data available to third parties; sharing a single account between several entities; and any volume that is manifestly disproportionate to the usage observed among Users on the same subscription.
Where use is manifestly disproportionate, Saalz informs the User and proposes, as appropriate, a temporary limit, a suitable subscription or a custom plan. Saalz applies no limit without having first informed the User and allowed a reasonable period to remedy the situation. The User’s data remains accessible and exportable throughout that period.
Saalz implements the technical measures and means necessary to ensure the security of connections, content and the Personal Data of its Users.
Saalz provides the Software under a best-efforts obligation. Saalz uses processes and techniques in line with the state of the art. However, in the current state of knowledge, tests and experience cannot cover every possible use.
Saalz does not warrant that the Software will operate without interruption or malfunction, or that it will be free from anomalies or errors that can be corrected, or that it is compatible with hardware or a configuration other than those expressly approved by Saalz.
The User is responsible for:
their access to and use of the Software;
obtaining and maintaining all equipment necessary to access the Software;
ensuring that this equipment is compatible with the Software.
Saalz reserves the right to interrupt access to the Software temporarily at any time:
to carry out an update, technical maintenance or improvement work contributing to its proper operation, or to repair a failure: Saalz will use its best efforts to notify the User of such interruptions;
in the event of server unavailability for any reason whatsoever;
in the event of non-payment, breaches of the Terms of Use and Terms of Sale, or attacks by a third party on the security of the Software and of the Content hosted by Saalz.
Saalz will not be liable for any compensation in the event of a temporary interruption of access under the conditions set out above.
The Software belongs to Saalz without any limitation.
The User is authorised to use the Software in accordance with the Licence. All rights not expressly granted by the Terms are reserved.
The Software is an original work protected by intellectual property rights and international conventions. The User warrants that they will not modify, rent, lend, sell or distribute these works, and will not create derivative works based in whole or in part on them. The User undertakes not to carry out any reverse engineering, except under the conditions permitted by law.
No use may be made of the Saalz name or trade mark without its prior consent.
The User acknowledges that Saalz is the sole owner of its intellectual property rights, and in particular of the Software. The User must at no time contest that ownership or the validity of Saalz's intellectual property or the rights attached to it.
The available items, such as the software, databases, features, the platform, web pages, texts, photographs, images, icons, sounds, videos and more generally all information available to the User, are the entire and exclusive property of Saalz.
Should the User fail to comply with these Terms, Saalz reserves the right to terminate their access or delete their account.
Saalz also reserves the right to take any action to put an end to any infringement of its rights and to obtain compensation for the harm suffered.
Saalz collects and processes the data that Users voluntarily provide in order to access and use the Software, as well as data relating to Users' preferences and to traffic, in accordance with its privacy policy and its cookie policy.
In accordance with that privacy policy, the information collected by Saalz is subject to computer processing intended in particular to manage access to the Software, subscriptions, services and support, the preparation of commercial and marketing offers, and to strengthen and improve products and content as well as the User experience.
In accordance with the applicable personal data protection regulations, the User has the rights of access, rectification, erasure, restriction and portability of data and, where applicable, the right to object to the processing. The User may exercise these rights by contacting the DPO at [email protected], subject to providing proof of identity.
The processing of personal data carried out in connection with the use of the Saalz service is governed by the Data Processing Agreement (DPA), available at the following address: /dpa/. The list of sub-processors used by Saalz is also available, kept up to date, at the following address: /liste-sous-traitants/. By using the service, the user acknowledges having read and accepted these documents.
These Terms are governed by French law.
The effective date of the Terms is 14 April 2022. Should a translated version of the Terms conflict with the French version, the French version shall prevail.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE AS TO THEIR VALIDITY, INTERPRETATION OR PERFORMANCE SHALL BE SUBMITTED TO THE EXCLUSIVE JURISDICTION OF THE COURTS HAVING JURISDICTION OVER SAALZ'S REGISTERED OFFICE, INCLUDING IN THE EVENT OF THIRD-PARTY PROCEEDINGS OR MULTIPLE DEFENDANTS.
